Our Company- Headquartered in Nashville, Tennessee, ProfitPoint, Inc., is a payment services company that markets value-added, non-cash payment products and services to small and medium-sized retailers and restaurants. The Company was founded in November 2003 by several veterans of the payment services industry to take advantage of the growing number of merchants that have not been offered affordable stored value card solutions by their existing payment processing partners. The Company's primary products are gift and loyalty card programs designed to increase customer traffic, generate incremental sales, encourage repeat business, and reduce the risk of shrinkage and exposure to fraud. The Company supports these products with responsive customer service, merchant education, and comprehensive transaction processing services for all forms of non-cash payment. Prior to founding the Company, Mr. Landers served as Chief Marketing Officer and Executive Vice President of iPayment, Inc. (Nasdaq: "IPMT"), where he was responsible for corporate business development, mergers and acquisitions, and the recruitment and training of merchant-level sales professionals and ISOs. From 2000 until 2002, Mr. Landers served as President, ISO Division for Global Payments Inc. (NYSE "GPN"), where he was responsible for growing the ISO base from three organizations (generating $13 million in revenue) to 60 organizations (generating $65 million in revenue) in three years. From 1998 until 2000, Mr. Landers served as President of Bancard Consulting Group, Inc., a management consulting company in Nashville that he founded. Prior to this, Mr. Landers held various managerial positions in the payment services industry, including Director of Portfolio Management for PMT Services, Inc., Operations Support Manager for Financial Alliance Processing Services, Inc., and Sales Support Supervisor and Conversion Specialist for NOVA Information Systems, Inc. Mr. Landers is a member of The Green Sheet Advisory Board, and a former member of First Data Corporation's Merchant Advisory Board and First Data's Industry Consulting Group. |

| Prior to founding the Company, Mr. Battista served as President and Director of EVS Holding Company, Inc., a developer electronic commerce and transaction processing solutions that he co-founded in 1995. From 1988 until 1994, Jim served as General Manager of Arch Associates, the leading independent wholesaler of computers in the U.S., where he was responsible for increasing annual sales from $15 million to over $80 million in six years. From 1983 until 1988, Jim served as a Senior Financial Analyst with Unisys Corporation, and from 1980 until 1983, he served as a Financial Analyst with General Motors. Jim is a Director of the Springfield Athletic Association and a regular volunteer for the American Red Cross and Mercy Hospice Group. |

Mr. Jenkins currently serves as Director of Operations and Risk Management for ProfitPoint, Inc.. He holds a bachelors degree in economics with a focus on competitive analysis and strategy from the University of Tennessee. Jenkins is a highly decorated payment services professional who is the recipient of numerous awards and acknowledgements for exceptional performance, including NOVA Corporation's Quality Circle award. He is a co-founder of the Credit Card Fraud Investigation Association that boasts 92 members, representing over 60 different acquirers. The FBI has also recognized Jenkins for quality of investigation leading to prosecution and conviction of six individuals responsible for over $1 million in fraud losses to acquirers.
James F. Julaino Sr., –Vice President of Sales
Mr. Juliano currently serves as Vice-President of Sales for ProfitPoint. Prior to this position, he developed and maintained the sales organization for GoEmerchant.com LLC, an internet commerce and transaction processing company from 2000 until 2005. From 1990 to 2000, Jim founded and was President of JNN inc., a company that sold and distributed products in the entertainment industry. From 1985 until 1990, Jim was President and founder of Blue Mountain Spring Water Co., a bottled water distribution company based in south Jersey. Prior to 1985 Jim served as Vice-President of sales for Keystone Spring Water Co. and He was Key Account Manager for Great Bear Bottled Water. Jim is a graduate of Penn State University, and has six children that keep him busy in his off hours.
Daniel W. Battista, Sr. – Vice President/Sales
Prior to joining the company, Mr. Battista enjoyed a twenty year career with M. A. Bruder and Sons, Inc. (MAB Paints) headquartered in Broomall, PA. He held various positions with MAB, the last being Regional Manager where he was instrumental in growing sales and profits of the Delaware Valley Market by overseeing thirty stores and twelve sales representatives.
Mr. Battista is a graduate of Drexel University and holds a Master of Business Administration from Widener University.Mr. Battista has been named "Coach of the Year" by the Lansdowne Boys Club and is currently volunteering with the St. Anastasia Church basketball program. He also enjoys golfing and parenting of his four children, Daniel, Emily, Jill and Brian.
Lawton Miller joined Profit Point in May 2007 as Executive Vice President – Business Development. Prior to joining Profit Point, Lawton served as CFO for ReMedPar which is the healthcare industry’s largest independent provider of medical imaging replacement parts. Lawton was also in the office supply industry for 15 years serving in various financial roles in both the public and private sector. He was VP-CFO of Radar Business Systems during a period of rapid growth overseeing the financial area while being involved in the due diligence and consolidation of seven acquired companies. After Radar was acquired by US Office Products, he served in various district and regional controller positions of this $3 billion public corporation. In 2002, he became one of the original founders of MyOfficeProducts, Inc. serving as Senior Vice President and Chief Financial Officer of this start-up business-to-business office products provider. Prior to entering the office supply industry, Lawton was with Hospital Corporation of America for four years. He received his Bachelor of Science from Lipscomb University and is a member of the American Institute of Certified Public Accountants and the Tennessee Society of CPA’s. Lawton is married and has three children.
Mr. Hains has managed the IT department of ProfitPoint since its inception. In addition to maintaining the business infrastructure, he has led several major projects that have improved ProfitPoint's offerings -- most noticeably, the Merchant Services site, where customers generate and view reports on demand. Since earning a bachelor's degree in computer science and engineering from MIT, Mr. Hains has worked primarily in IT, often drawing on his programming background for special projects.
